Terms of Service
These Terms apply to all sales by Batchbake, a trading name of Freebrights Limited, to UK business customers only. By placing an order, you agree to be bound by these Terms.
Orders and contract formation
All product listings, brochures and price lists are invitations to treat only. Your order constitutes an offer to purchase. A binding contract is formed only once we confirm acceptance in writing, including by email or order confirmation. We reserve the right to decline or cancel any order prior to dispatch, including where there is a pricing error, stock limitation, operational constraint or suspected misuse.
Eligibility
We supply trade customers only. Orders must be delivered to a UK mainland business address capable of accepting deliveries during standard courier hours. We reserve the right to refuse supply where products are resold or presented in a way that may damage the Batchbake brand.
Orders and minimum order values
Orders may be placed online or via an approved offline account. Minimum order values may apply and will be confirmed at point of order. Large or high volume orders may require advance notice. We reserve the right to reschedule or refuse large orders where production or delivery capacity requires.
Prices and VAT
Prices shown are the total price payable excluding delivery unless stated otherwise. Most products are zero-rated for VAT. Where VAT applies, this will be clearly shown at point of order and on your invoice. Prices may change at any time prior to order confirmation.
Payment
Online orders must be paid in full prior to dispatch unless otherwise agreed in writing. At our absolute discretion, offline customers may apply for a credit account. Credit terms, limits and payment periods are agreed individually following onboarding and credit checks. We may amend, suspend or withdraw credit facilities at any time. Late payments may result in account suspension and statutory interest under the Late Payment of Commercial Debts legislation.
Delivery
Delivery is made via DPD 24HR or an equivalent courier service. Delivery days are Tuesday to Saturday, excluding Bank Holidays. With all couriers, delivery dates and times are estimates only and are not guaranteed. We are not liable for delays caused by courier performance, traffic disruption, weather, local depot issues or events outside our reasonable control.
You are responsible for ensuring that the delivery address, postcode and contact details provided at the time of order are accurate, serviceable and correspond to a valid UK mainland business address. We are not responsible for failed or misdirected deliveries resulting from incorrect or incomplete address details.
We will provide you with tracking details by email upon dispatch of your order. It is your responsibility to click through the tracking link and state your preferences for delivery and safe space allocation directly with the courier. Deliveries must be capable of being received within the courier’s delivery window hours on the chosen delivery day. If no one is available to receive the delivery, the courier may leave the goods in a location they deem safe. Any goods left in this way are at your own risk.
Where deliveries are made to sites with multiple businesses, shared buildings, loading bays, central mail rooms, markets, event sites or festival locations, delivery to the recorded address or central delivery point constitutes successful delivery. We are not responsible for goods that are subsequently misplaced internally. On rare occasions, if a delivery is delayed by the courier, it may be delivered on the next operational delivery day. You must ensure that you are available to receive the goods on that day. We do not accept liability for deterioration arising from courier delays outside our control.
No deliveries are made, or collected, on Bank Holidays. Where a delivery date falls immediately before a Bank Holiday and a delay occurs, this is at your risk. Once an order has been confirmed and dispatched, we are unable to amend delivery details. Any delivery issues must be reported to us on the day of expected delivery to allow investigation with the courier. Failure to notify us promptly may affect our ability to assist. Risk passes to you upon delivery to the stated address.
Product condition and storage
Products are packed frozen at our bakery and are intended to arrive in a condition suitable to place immediately into a freezer or prepare for consumption in line with our handling guidance. The insulated packaging used for delivery is designed to keep products under temperature control in transit for an appropriate period and to allow for normal temperature variation during transit. Goods are intended to remain cool and suitable for onward storage and use. Products should be placed into appropriate storage immediately on receipt and handled in line with food safety guidance.
Inspection and issues
You must inspect goods immediately on receipt. Any shortages, picking errors or visible damage must be reported within 24 hours of delivery. Any quality issues must be reported within 48 hours. Claims must include clear photographic evidence and relevant batch or date information. Due to the perishable nature of the goods, returns are not accepted unless agreed by us in writing. Our liability for accepted claims is limited to replacement or refund of the affected goods, at our discretion.
Sampling
Sampling, if offered, is provided at our absolute discretion.
Allergens and compliance
Full ingredient and allergen information is provided on product labels. You are responsible for ensuring compliance with all applicable food legislation when reselling, including allergen communication and any PPDS obligations. We accept no liability for your failure to comply with legal requirements. You are responsible for ensuring compliance with all applicable food legislation when reselling, including allergen communication and any requirements relating to prepacked for direct sale (PPDS) food under Natasha’s Law.
Retention of title
Ownership of the goods remains with us until payment is received in full.
Limitation of liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or any liability that cannot be excluded by law. Subject to this, we are not liable for loss of profit, loss of revenue, loss of business, loss of goodwill or indirect or consequential losses. Our total liability shall not exceed the value of the goods supplied under the relevant order.
Force majeure
We are not liable for delay or failure to perform due to events beyond our reasonable control, including supply chain disruption, courier failure, industrial action or extreme weather.
Intellectual property
All Batchbake branding, product names, images and materials remain our property and may not be used without prior written consent.
Suspension and termination
We may suspend or terminate supply immediately if payment is overdue, credit limits are exceeded, insolvency events occur or these Terms are breached.
Changes to these Terms
We may update these Terms at any time by publishing revised terms. Continued ordering constitutes acceptance of the updated Terms.
Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
